Terms and Conditions

1. Acceptance of the Terms

By accessing and using SekinSoft’s services, including Klienz (hereinafter, "the Software"), you agree to be bound by these Terms and Conditions of Use. If you do not agree with any of these terms, you may not use our services. These terms constitute a legal agreement between you and SekinSoft (J-502322744), domiciled in Maracaibo, Venezuela ("we", "our" or "the Company").

2. Definitions

"Software" or "Klienz": The customer relationship management system developed by SekinSoft, including all of its features, modules and updates.
"Services": All services provided by SekinSoft, including custom software development, technology consulting, support and access to Klienz.
"User": Any person who accesses or uses the Services, whether on a trial or a paid subscription.
"Data": All information entered, stored or processed through the Software by the User.
"Subscription": The payment plan selected by the User to access the Software’s features.

3. SekinSoft Services

SekinSoft offers the following services:

Custom web and mobile application development.
API and integration design and development.
Technology consulting and digital transformation.
Klienz: a SaaS sales management platform with WhatsApp Business API, Telegram, AI chatbot, invoicing, projects and more.

Custom development services are additionally governed by the specific contract or proposal agreed between the parties.

4. Klienz License of Use

SekinSoft grants the User a limited, non-exclusive, non-transferable and revocable license to use the Software in accordance with these terms. This license is conditional upon:

Using the Software solely for lawful and legitimate business purposes.
Not reverse engineering, decompiling or attempting to obtain the Software’s source code.
Not distributing, selling, renting, sublicensing or transferring the Software to third parties.
Not using the Software for illegal or fraudulent activities or activities that infringe the rights of third parties.
Not interfering with the Software’s security or attempting to access restricted areas.

5. Accounts and Access

To use Klienz, the User must create an account by providing truthful, accurate and complete information. The User is responsible for:

Keeping their login credentials confidential.
Immediately reporting any unauthorized use of their account.
Making sure to log out at the end of each use of the Software.

SekinSoft reserves the right to suspend or terminate accounts that show suspicious activity or that violate these terms.

6. Subscription and Payments

Full access to Klienz requires a paid subscription according to the available plans. By purchasing a subscription:

The User agrees to pay all applicable fees according to the selected plan.
Subscriptions renew automatically at the end of each billing period unless canceled at least 7 days in advance.
Prices are subject to change with 30 days’ prior notice.
No refunds are given for partial or unused periods.

7. Intellectual Property

Klienz, including its source code, design, interfaces, logos, trademarks and documentation, is the exclusive property of SekinSoft and is protected by intellectual property laws. The User acknowledges that they acquire no ownership rights over the Software.

The Data entered by the User remains the property of the User, who grants SekinSoft a limited license to store, process and transmit such Data for the sole purpose of providing the Software’s services.

Software custom-developed for clients is governed by the ownership terms set out in the specific contract for each project.

8. Data Protection and Privacy

SekinSoft is committed to protecting the User’s information in accordance with our Privacy Policy. The User is responsible for:

Obtaining the necessary consent from their customers to store their data in the Software.
Complying with the data protection laws applicable in their jurisdiction.
Not storing sensitive information without appropriate security measures.

9. Use of WhatsApp Business API and Telegram

By using Klienz’s messaging integrations, the User agrees to comply with:

The WhatsApp Business API usage policies established by Meta.
The Telegram API terms of use.
The anti-spam and commercial communications laws of their jurisdiction.
Not sending unsolicited bulk messages or engaging in spam practices.

SekinSoft is not responsible for suspensions or restrictions imposed by Meta or Telegram on the User’s number for failing to comply with their policies.

10. Availability and Support

SekinSoft strives to keep the Software available 24 hours a day, 7 days a week, but does not guarantee uninterrupted availability. The Software may be temporarily unavailable due to scheduled maintenance or circumstances beyond our control.

Technical support is provided according to the subscription plan purchased. Response times may vary depending on the User’s priority and plan.

11. Limitation of Liability

To the maximum extent permitted by applicable law, SekinSoft shall not be liable for:

Indirect, incidental, special or consequential damages.
Loss of profits, revenue, data or use of the Software.
Any third-party claim related to the use of the Software.
Service interruptions caused by third parties (hosting providers, Meta, Telegram, etc.).

SekinSoft’s total liability shall not exceed the total amount paid by the User in the last 12 months.

12. Termination

SekinSoft may suspend or terminate the User’s access to the Software in the event of:

Breach of these Terms and Conditions.
Fraudulent or illegal use of the Software.
Non-payment of the applicable subscription fees.

The User may cancel their subscription at any time. Upon termination, SekinSoft will retain the User’s Data for a period of 30 days, after which it will be permanently deleted. The User may request immediate deletion through our data deletion page.

13. Modifications

SekinSoft reserves the right to modify these Terms and Conditions at any time. Modifications will take effect 15 days after their publication at this URL. Continued use of the Software after that period will constitute acceptance of the modified terms.

14. Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of the Bolivarian Republic of Venezuela. Any dispute related to our services shall be submitted to the jurisdiction of the competent courts of the city of Maracaibo, Zulia State, Venezuela.

15. General Provisions

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. SekinSoft’s failure to enforce any provision shall not constitute a waiver of that right.
